These Terms govern your access to and use of Akuntsu.com, Attractr, and Audience Lab (collectively, the “Services“), all operated by Akuntsu Inc. By accessing any of these platforms, you agree to be bound by these Terms and the applicable Schedule below.

 

1. Intellectual Property

All content published by Akuntsu — text, editorial articles, survey instruments, brand assets, software, downloadable templates, and research frameworks — is the exclusive property of Akuntsu Inc. and protected under Canadian and international IP law.

1.1 Prohibition on Scraping and AI Data Mining. You may not use any automated system, spider, scraper, data-mining tool, or crawler to access, extract, or index any portion of Akuntsu.com, Attractr, Audience Lab, the ALROS research database, or User Content — including for the purpose of training machine learning or AI models — without express written authorization from Akuntsu Inc.

Third-Party & Licensed Content: Where Akuntsu uses third-party imagery, trademarks, or licensed assets, such use is authorized under applicable license. Users may not assume any image, logo, or event branding displayed on our platforms is free to reuse.

 

2. AI-Assisted Content Disclosure

Akuntsu’s services, including the Bilingual Briefing Generator and Attractr’s Clara AI engine, use AI-assisted translation, analysis, and content generation. AI-generated or AI-assisted output may contain errors and should be reviewed by a qualified human before being relied upon for safety-critical, technical, financial, or legally significant decisions. Clara AI provides predictive insights intended to support Suppliers but does not guarantee specific commercial outcomes and does not replace professional, financial, legal, or strategic advice. Akuntsu is not liable for outcomes resulting from unreviewed reliance on AI-generated content.

 

3. Mutual Indemnification

You agree to indemnify Akuntsu, its officers, employees, and agents from claims arising out of (i) your User Content, (ii) your breach of these Terms, or (iii) your violation of any third party’s rights.

Akuntsu agrees to indemnify you against third-party claims that Akuntsu’s own proprietary content (excluding your User Content or third-party materials) directly infringes a valid copyright or trademark, subject to prompt notice and Akuntsu’s control of the defense.

 

4. Professional Disclaimer & Limitation of Liability

All content, tools, templates, reports, and platform features are provided “AS IS” without warranties of any kind. Akuntsu does not guarantee specific business or commercial outcomes.

  • Akuntsu.com Services: Akuntsu’s aggregate liability for any claim arising from Akuntsu.com services shall not exceed the greater of CAD $500 or the fees paid by you to Akuntsu in the 12 months preceding the claim.
  • Attractr / Audience Lab: Akuntsu’s aggregate liability for any claim arising from Attractr or Audience Lab shall not exceed the greater of CAD $100 or the amount paid by you to Akuntsu in the 6 months preceding the claim.

     

5. Downloadable Resources & Survey Participation (Schedule A)

Resource Provision: Akuntsu offers downloadable templates, tools, demos, and educational materials (“Resources”). Limited License: requesting or downloading a Resource grants you a non-exclusive, non-transferable, revocable license for internal/professional use only. Restrictions: no resale, re-licensing, or redistribution without written authorization. Survey Participation: voluntary; governed by the Privacy Policy; by participating identifiably or anonymously, you grant Akuntsu the right to process, aggregate, and publish anonymized data for industry reports, benchmarks, and platform validation.

 

6. Attractr & Audience Lab Account Terms (Schedule B)

6.1 Eligibility. Services are intended solely for users 18 years of age or older. By using the Services, you represent you meet this requirement.

6.2 Account Registration. You agree to provide accurate, current, and complete information and keep it updated. You are responsible for your credentials and all activity under your account.

6.3 User Content License. As a Supplier, you retain ownership of content you create and share. By posting to Audience Lab or the Platform, you grant Akuntsu a worldwide, non-exclusive, royalty-free license to host, display, reproduce, and distribute such content solely to operate and improve the Services.

6.4 Prohibited Conduct. You may not: violate applicable law; share unlawful, harmful, threatening, harassing, defamatory, or discriminatory content; infringe IP rights; interfere with the Services; use automated means to access the Services or collect user information without written permission; impersonate any person or entity; engage in fraud; share content depicting or targeting individuals under 18; use bots or manipulative tactics to inflate engagement or influence Clara AI signals; harass or discriminate; or spam other users.

6.5 Payments and Refunds. Payments are processed through third-party processors (e.g., Stripe, WooCommerce). Refunds may be granted for duplicate payment, fraudulent transaction, event cancellation, or platform error. All refund requests must be submitted within thirty (30) days of the original transaction.

6.6 Account Termination, Data Erasure & Forum Continuity. Akuntsu may terminate or suspend your access at any time, without prior notice, for breach of these Terms or other cause described in the Privacy Policy. You have 30 days to export your content before permanent deletion. Upon a valid deletion request, your PII is deleted or de-identified from our active production systems, except where retention is required or permitted by law (e.g., financial recordkeeping, fraud prevention, or security purposes) or exists in secure backups pending routine rotation; forum posts and comments remain visible, stripped of personal identity and reassigned to [Anonymous User], as described in Schedule B of the Privacy Policy.

6.7 Clara AI & Data Training. By default, your content and personal data are not used to train Akuntsu’s AI models, including Clara AI. Any such use requires your separate, explicit, affirmative opt-in consent.

 

7. Third-Party Links & Embedded Tools

Our platforms incorporate embedded forms and third-party integrations (Tally, Airtable, Brevo, Mailmeteor, Google Analytics, Sharetribe, Sendbird, Whereby, Stripe). Akuntsu is not responsible for the availability or independent privacy practices of these platforms.

 

8. Dispute Resolution

If a dispute arises, the parties agree to first attempt informal resolution. Written notice must be sent to legal@akuntsu.com. If unresolved within 60 days of initial notice, either party may commence formal proceedings.

 

9. Governing Law & Forum

These Terms are governed exclusively by the laws of the Province of Quebec and applicable federal laws of Canada. Any dispute shall be brought exclusively in the courts of the Judicial District of Montreal, Quebec.

 

10. Language / Langue

These Terms are available in both English and French. For users located in Quebec, the French version shall prevail where required by applicable law.

 

11. Changes to These Terms

Akuntsu reserves the right to modify these Terms at any time. Material changes will be notified by email or platform notice prior to the effective date. Continued use after the effective date constitutes acceptance.
